1. Agreement
These Terms of Service ("Terms") form a binding agreement between you and Road Smart Solutions ("Road Smart Solutions," "we," "us," or "our") governing your access to and use of our websites, mobile applications, and related services (collectively, the "Platform"). By accessing or using the Platform, creating an account, or clicking to accept these Terms where presented, you agree to these Terms and to our Privacy Policy, which is incorporated by reference.
If you are using the Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and "you" refers to that entity.
2. Eligibility and accounts
You must be at least the age of majority in your jurisdiction to use the Platform. You agree to provide accurate, current, and complete information, to maintain the security of your credentials, and to promptly update your information when it changes. You are responsible for all activity under your account except where caused solely by our gross negligence or willful misconduct.
We may refuse registration, suspend, or terminate accounts that violate these Terms, pose a security or fraud risk, or are inactive for extended periods, subject to any rights you may have under applicable law.
3. The Platform and third-party services
The Platform may allow you to discover, request, purchase, finance, insure, or manage vehicle-related products and services offered by independent third parties ("Providers"). Your relationship with a Provider is directly between you and that Provider. Road Smart Solutions is not a party to contracts you enter with Providers unless expressly stated in writing for a specific transaction.
Insurance products, where available, are offered by licensed insurers or intermediaries, not by Road Smart Solutions as the insurer. Coverage terms, premiums, exclusions, and claims are governed solely by the applicable policy, schedule, certificate, and endorsements issued by the underwriting insurer. Nothing on the Platform constitutes insurance advice.
4. Orders, payments, and taxes
Prices, fees, taxes, shipping, and availability are as shown at checkout or in the applicable Provider flow, unless otherwise required by law. You authorize us and our payment processors to charge your selected payment method for amounts you agree to at the time of purchase. You are responsible for any taxes associated with your transactions except where we are legally required to collect and remit them.
5. Acceptable use
You agree not to:
- Violate applicable law or third-party rights;
- Access or attempt to access non-public areas of the Platform or other users' data without authorization;
- Interfere with or disrupt the Platform, servers, or networks;
- Use automated means to scrape, harvest, or overload the Platform without our prior written consent;
- Upload malware, engage in fraud, or misrepresent your identity or affiliation;
- Circumvent technical measures, rate limits, or security controls.
6. Your content and license to us
You retain ownership of content you submit ("User Content"). You grant Road Smart Solutions a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify (for formatting or technical purposes), display, and distribute User Content solely to operate, improve, promote, and secure the Platform and to fulfill transactions you request. You represent that you have all rights necessary to grant this license.
7. Intellectual property
The Platform, including software, text, graphics, logos, and compilation, is owned by Road Smart Solutions or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you. Feedback you provide may be used by us without obligation to you.
8. Disclaimers
THE PLATFORM AND ALL CONTENT AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ROAD SMART SOLUTIONS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (USD $100) OR (B) THE AMOUNTS YOU PAID TO Road Smart Solutions FOR PLATFORM SERVICES (EXCLUDING AMOUNTS PAID TO PROVIDERS) IN THAT PERIOD. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
10. Indemnity
You will defend, indemnify, and hold harmless Road Smart Solutions and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your User Content, your use of the Platform, your violation of these Terms, or your violation of third-party rights.
11. Termination
You may stop using the Platform at any time. We may suspend or terminate access to the Platform or delete accounts where permitted by law. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnity, governing law, and dispute resolution) will survive termination.
12. Changes to these Terms
We may modify these Terms by posting an updated version on the Platform and updating the version identifier and effective date above. If a change is material, we will provide notice in accordance with applicable law (which may include email or a prominent notice on the Platform). Your continued use after the effective date of changes constitutes acceptance unless applicable law requires a different process.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Subject to the paragraph below, exclusive jurisdiction and venue for any dispute arising out of or relating to these Terms or the Platform will lie in the state or federal courts located in Wilmington, Delaware, and each party consents to personal jurisdiction there.
If you are a consumer habitually resident in the European Economic Area, the United Kingdom, or Switzerland, you may benefit from mandatory protections of the laws of your country of residence, and nothing in these Terms limits those protections where they apply.
14. General
These Terms constitute the entire agreement between you and Road Smart Solutions regarding the subject matter hereof and supersede prior understandings. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to you may be sent to the email associated with your account.
